A South Korean court has dismissed a challenge posed by two significant shareholders against Korea Zinc's initiative to issue new shares for a $7.4 billion smelter venture in the United States. This decision enables the company to proceed with its expansion plans in the U.S., resulting in a nearly 5% increase in Korea Zinc's stock, while YoungPoong's shares dropped close to 10%.
The facility in Tennessee is considered a strategic move to help the U.S. lessen its reliance on China for critical minerals essential for electronics, chips, and defense applications. Korea Zinc plans to raise $1.9 billion through share sales to a joint venture under U.S. government oversight and strategic investors, securing a 10% stake for the American partners in the South Korean entity.
MBK Partners and YoungPoong, which hold approximately 46% of Korea Zinc collectively, voiced concerns over possible shareholder dilution and equity in the deal. Despite the court's ruling, both entities pledged support for the U.S. smelter project, anticipating benefits for the U.S., Korea Zinc, and the South Korean economy.
This development could also bolster the influence of Korea Zinc Chairman Yun B. Choi, who has faced internal challenges from MBK Partners and YoungPoong since last year. The issuance of shares to U.S. affiliates could shift control dynamics in favor of Choi.
Korea Zinc emphasizes that the smelter project aligns with U.S. initiatives to diversify mineral supply chains and establish a presence in the largest market worldwide for essential minerals. Analysts perceive this as a proactive step towards sustainable global expansion and industrial partnership.
In summary, the court's ruling eliminates a key legal barrier for Korea Zinc. The project is anticipated to amplify the company’s global footprint, reinforce U.S. industrial goals, and present fresh opportunities for South Korea's economy.
